Metaplanet is taking its bitcoin treasury strategy to the United States, announcing a deal to acquire a controlling 96% stake in Nasdaq-listed Super League Enterprise and install it as the Japanese firm's US bitcoin treasury platform.

Under the agreement, Metaplanet will contribute 2,100 bitcoin — worth roughly $135 million at current prices — to Super League, which will be renamed Superplanet. Shares of Super League jumped more than 50% on the announcement, with trading volume surging.

No New Buying — A Capital Markets Play

The contribution comes from Metaplanet's existing 43,000 BTC holdings, meaning the transaction involves no new bitcoin purchase. This is a structuring move, not an accumulation event: Metaplanet is redeploying existing reserves to create a US-listed vehicle for the strategy it has run in Tokyo since 2024.

CEO Simon Gerovich said the structure gives the group access to capital markets in both the US and Japan — a notable advantage given the persistent premium Japanese-listed treasury stocks have traded at, and the deeper institutional demand available on Nasdaq.

Superplanet would also be positioned to pursue US acquisitions, extending the treasury model beyond passive holding.

The Treasury Company Blueprint Goes Multinational

Metaplanet has grown into Asia's largest corporate bitcoin holder, having adopted — and aggressively scaled — the treasury playbook pioneered by Strategy (formerly MicroStrategy). The move mirrors a broader wave: treasury companies across jurisdictions have become the largest structural source of corporate bitcoin demand, and the competition among them is now playing out across listings, jurisdictions, and cost of capital.

A dual-country structure is the next evolution. If Superplanet can raise capital in the US against bitcoin contributed at Metaplanet's cost basis, the group effectively arbitrages two capital markets while consolidating its bitcoin exposure.

Timeline

The transaction is expected to close in the fourth quarter of 2026, subject to shareholder approval and other customary conditions. Until then, Super League continues trading as a Nasdaq-listed company.

For the bitcoin market, the deal's significance is directional rather than immediate: another deeply-committed corporate holder, another US-listed accumulation vehicle, and further evidence that the corporate treasury model — criticized as leveraged and reflexive by some analysts — is still expanding two years into its first institutional cycle.
